These Terms of Service (the "Terms") govern your access to and use of the ThingZo IoT Platform, including the web console, mobile applications, APIs, SDKs, device provisioning systems, cloud infrastructure, and related services (the "Services") provided by ThingZo Smart Private Limited ("ThingZo", "we", "us", or "our"). By creating an account, connecting IoT devices, or otherwise using the Services you accept and agree to be bound by these Terms.

1. Acceptance of the Terms

1.1 Agreement to additional policies. Your access to the ThingZo IoT Platform is subject to these Terms, the ThingZo Privacy Policy, payment terms (if applicable), product documentation, and third-party terms incorporated by reference.

1.2 Effective date. These Terms become effective when you first access or use the ThingZo IoT Platform.

1.3 Updates. ThingZo may update these Terms by posting revised Terms on the website or dashboard. Continued use after posting constitutes acceptance.

1.4 No assignment. You may not assign or transfer these Terms without ThingZo's prior written consent.

2. Provision of Service

2.1 Service provider. The Service is provided by ThingZo Smart Private Limited, an Indian company.

2.2 Registration. You must register for an account to access the Services.

2.3 Suspension or termination. ThingZo may suspend or terminate access for violations of these Terms, security risks, non-payment, abuse, or legal restrictions.

2.4 Regional availability. Certain features may not be available in all regions and access may be restricted due to sanctions, export controls, or compliance rules.

2.5 Service modifications. ThingZo may modify or discontinue features. If discontinued, we will use commercially reasonable efforts to notify customers in advance except when urgent compliance or security reasons apply.

3. Use of the ThingZo IoT Platform

3.1 Legal use only. You agree to comply with all applicable laws and not to use the Service for illegal, harmful, or restricted activities.

3.2 Prohibited activities. You and your End Users must not: reverse engineer the Service; resell or sublicense the Service; bypass billing or usage limits; upload malware or malicious firmware; use the Service to produce unlawful content; infringe third-party rights; or otherwise misuse the Service.

3.3 Security violations. You must not attempt unauthorized access, perform DDoS attacks, forge request origins, or otherwise attack the platform or other users.

3.4 Messaging restrictions. The Service must not be used for spam, mass unsolicited messaging, or fraudulent communications.

3.5 Data authority. You warrant that you have the lawful authority to provide any data you upload and that end-user consents have been obtained where required.

3.6 Data processing location. Your data may be stored or processed in India or other regions where ThingZo maintains infrastructure or authorized partners.

3.7 Payment data handling. Payment card data is processed by our payment provider (e.g., Stripe); ThingZo does not store full card numbers.

3.8 Sharing of information. We disclose data only as necessary to provide the Service, to comply with law, or with your consent.

4. Withdrawal & Suspension of Service

4.1 Content removal. ThingZo may remove content that violates these Terms or poses a security or legal risk.

4.2 Violation notice. For non-severe violations we may give notice and request remediation within 24 hours. Failure to remediate may result in suspension.

4.3 Immediate suspension. Immediate suspension may occur for security threats, illegal activity, or severe breaches. Suspensions typically last up to 15 days or until resolution.

5. Limitation of Liability

5.1 No warranty. The Service is provided "as is" without warranties of performance, availability, or fitness for a particular purpose.

5.2 Accuracy of data. ThingZo does not guarantee the correctness of device or third-party data.

5.3 Indemnification. You agree to indemnify ThingZo and its affiliates against claims, losses, damages, and legal costs arising from your use of the Service or violations of these Terms.

5.4 No liability for damages. ThingZo is not liable for incidental, consequential, or special damages including lost profits or loss of data.

5.5 Maximum liability. ThingZo's aggregate liability for any claim is limited to the greater of the amounts you paid in the last 30 days or INR 8,000 (approx. USD 100), unless otherwise agreed in a separate written contract.

6. Payment Terms

6.1 Billing. By using the Service you agree to pay applicable fees. Billing terms are provided in the dashboard or invoice.

6.2 No refunds. Payments are non-refundable unless required by law. Refunds, if any, may be issued as account credit at ThingZo's discretion.

6.3 Taxes. You are responsible for taxes related to your use of the Service.

6.4 Invoice disputes. Raise disputes within 60 days of the invoice date.

6.5 Late payments. Late or failed payments may lead to suspension or termination of your account.

7. Force Majeure

ThingZo is not liable for service interruptions resulting from causes beyond our control, including natural disasters, cyber-attacks, power outages, strikes, government actions, or third-party failures.

8. Intellectual Property Rights

8.1 Ownership. ThingZo retains all rights, title, and interest in the platform, software, trademarks, and documentation.

8.2 License. Subject to these Terms, ThingZo grants you a limited, non-exclusive, non-transferable license to use the Service.

8.3 Feedback. Any feedback you provide may be used by ThingZo without restriction.

9. Data Ownership

9.1 Customer data. Data generated by your devices and stored on the platform remains your property.

9.2 Processing purpose. ThingZo processes your data solely to provide the Services and improve platform functionality.

9.3 Data control. You may export or delete your data via the platform. ThingZo may retain backups as required by law or for recovery purposes.

9.4 Data sharing. ThingZo will not sell your data. Data may be shared with service providers only to the extent necessary to deliver the Service or as required by law.

10. Termination

10.1 Term start. These Terms are effective from first use and continue until terminated.

10.2 Customer termination. You may stop using the Services at any time.

10.3 Termination for breach. ThingZo may terminate for non-payment, legal violations, or material breaches.

10.4 Post-termination effects. Upon termination, access is revoked, outstanding fees become due, and data may be deleted after the retention period described in the Privacy Policy.

11. General

These Terms constitute the entire agreement between you and ThingZo regarding the Services. If any provision is held invalid, the remainder of the Terms remain in effect. You may not assign your rights without ThingZo's prior written consent.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be resolved exclusively in the competent courts in Chennai, Tamil Nadu, India.
